Terms of Service.
The terms that govern your use of Examlly. Written plainly. Reviewed by Indian legal counsel before public launch.
These terms are an agreement between you and Examlly, a test paper generation platform for Indian institutes operated as a sole proprietorship by Prasad Patewar, based in India ("Examlly", "we", "us"). By creating an account, booking a demo, or using the platform, you agree to these terms. If you don't agree, don't sign up.
Who can use Examlly
You must be an institute admin or an authorized representative of an institute to create an account. Each institute account can have multiple teacher seats based on the credit pack purchased. Teachers added to an institute account agree to these terms when they accept the invite.
You're responsible for keeping your login credentials secure and for any activity on your account.
Acceptable use
Examlly is for generating test papers for legitimate institute use. You agree not to:
- Use Examlly for any purpose other than generating test papers for your students
- Share generated content commercially outside your institute
- Attempt to reverse-engineer, decompile, or scrape the generation engine
- Use Examlly to generate content unrelated to academic test preparation
- Violate any Indian law, including intellectual property and data protection laws
- Interfere with or disrupt the platform's availability for other institutes
Credits, payment, and billing
Examlly is sold as credit packs. Credits are spent per generated item: one credit per question, one credit per step-by-step solution, and one credit each time a question is regenerated. Editing a question and downloading PDFs do not consume credits. Detailed credit rules will be published before launch and will govern any conflict with this summary. Credits are shared across all teachers under one institute account.
Credit packs are valid for the subscription period stated at purchase. Unused credits don't expire within the subscription period but are forfeited at the end of the subscription if not renewed.
All fees are exclusive of applicable taxes, including GST. Invoices are issued in your institute's name. Refund and cancellation details will be published separately before launch.
Generated content and intellectual property
The questions Examlly generates for your institute belong to your institute. You can use them for any legitimate test preparation purpose, including printing them on your institute's letterhead and distributing them to your students.
The generation engine, the source databases, the platform, the Examlly name, and the Examlly marks remain Examlly's intellectual property. These terms do not grant you any rights in them beyond using the platform.
Examlly does not claim ownership over questions you upload as part of your institute's own material. You retain all rights to your uploaded content. By uploading material to Examlly, you grant Examlly a non-exclusive licence to use that material to operate the platform and to improve the generation engine, including by training and refining the models that power it. How that data is handled is described in the Privacy Policy.
Institutes can opt out of having their uploaded materials and generated outputs used for model training by writing to [email protected]; opt-outs take effect for future training within 30 days. Models already trained on previously-shared data cannot be retroactively retrained, but no further use will occur after the opt-out is processed.
Data and privacy
How Examlly handles your data is described in the Privacy Policy. By using Examlly, you agree to that policy.
Service availability
Examlly aims for high availability but doesn't guarantee uninterrupted service. We may take the platform down for maintenance, updates, or unexpected issues. We'll communicate planned downtime in advance when possible.
Warranties and limitation of liability
Examlly provides the platform on an "as is" and "as available" basis. We don't warrant that the generated content is error-free, exam-perfect, or guaranteed to improve student outcomes. Your team is responsible for reviewing every question before distribution.
To the maximum extent permitted by Indian law, Examlly's aggregate liability arising out of or related to these terms is limited to the amount you paid in the twelve months preceding the claim. Examlly is not liable for indirect, incidental, special, or consequential damages.
Indemnity
You agree to defend and indemnify Examlly against third-party claims arising from your use of the platform in violation of these terms, your uploaded content, or your distribution of generated papers outside the permitted use.
Termination
You can terminate your account at any time from the institute settings panel. Examlly can terminate your account if you violate these terms, with reasonable notice except in cases of serious breach.
Upon termination, you can export your generated papers, uploaded materials, and institute templates within 30 days. After that, your data is deleted in accordance with our retention policy. Sections that by their nature should survive termination (Intellectual Property, Limitation of Liability, Indemnity, Governing Law) will do so.
Changes and notices
Examlly may update these terms with reasonable notice. Material changes will be communicated by email at least 14 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance.
Notices to you will be sent to the email address on your account. Notices to Examlly should be sent to [email protected].
General
These terms are the entire agreement between you and Examlly regarding your use of the platform and supersede any prior agreements. If any part of these terms is found unenforceable, the rest stays in effect. Our failure to enforce a right is not a waiver of that right. You may not assign these terms without our written consent; Examlly may assign them to a successor entity.
Governing law and disputes
These terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts at Latur, Maharashtra, India.
